Referral Program - Terms and Conditions

Participation Eligibility Requirements
To participate in the Arctica Referral Membership Program, the referring customer (“Referrer”) must first register as an affiliate on the Arctica site at www.arctica.com and complete the referral prior to the referred person (“Referee”) buying a qualifying product.  Qualifying products include all products available on the www.arctica.com website, excluding special promotional products or products that are returned or exchanged under Arctica’s Return and Exchange Policy.  If Referrer has multiple affiliate accounts, only one account per person can be used to earn cash bonus rewards through the Arctica Referral Membership Program.
No employees of Arctica, its parent, subsidiaries, affiliates or the advertising, promotional or fulfillment agencies of each nor members of their households or immediate families are eligible to participate in the Arctica Referral Membership Program.  The Referrer and Referee must reside at different addresses. Arctica will monitor and track referrals submitted for accuracy. 
Referral Process
Upon registration, Referrer will receive a unique affiliate code number.  Referrer can distribute the unique affiliate code number to an unlimited number of Referees to earn a cash bonus reward through the Arctica Referral Membership Program.  The first time anyone (“Referee”) enters the Referrer’s unique affiliate code number at checkout, the Referee will receive an immediate cash discount (with the exception of the Charity Organization Referral Program)1  The cash bonus reward begins for the Referrer for all subsequent purchases:  When a Referee purchases a product on the www.arctica.com website and enters the Referrer’s unique affiliate code number at checkout, the Referrer is entitled to earn a cash bonus for such purchase.  If a Referee is referred by multiple Referrers, only one unique affiliate code number may be entered and only one Referrer shall be entitled to receive the cash bonus.  The Referee must enter the unique affiliate code number at the time of purchase.  A Referee cannot change the unique affiliate code number once the product is purchased and the referral has been submitted.
Cash Bonus Reward
A cash bonus for each qualifying product purchased by a Referee will be earned after the applicable guarantee period ends.  As of July 1, 2009, the guarantee period is 45 days (Please see Arctica’s Return and Exchange Policy).  Any changes to the guarantee period will be posted here:  www.arctica.com.  The cash bonus amount varies by product and ranges from $1 to $10 per qualifying product.
A cash bonus check(s) for all qualifying Referee purchases will be mailed to the address associated with the Referrer’s Arctica affiliate account.  To receive a cash bonus check(s), Referrer must remain an active Arctica affiliate.  The cash bonus check(s) will be issued at the end of the calendar month following 75 days from the date such reward is earned.  For example, if a cash bonus reward is earned on July 1, a cash bonus check will be issued to the Referrer on September 30 (i.e., 75 days following July 1 is September 13, therefore the cash bonus check will be issued at the end of the September).  Check processing time will vary based upon verification of referrals, so Referrer may receive multiple cash bonus reward checks.
Limitation of Liability
To the fullest extend permitted by law, neither Arctica nor any of its affiliates, directors, employees or other representatives will be liable for damages arising out of or in connection with this program.  This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages; loss of data, income, or profit; loss of or damage to property; and claims of third parties.
Governing Law
These program rules will be interpreted, construed, and enforced in all respects in accordance with the laws of the State of Washington, without giving effect to any principles of conflicts of laws. You hereby irrevocably consent and submit to the nonexclusive personal jurisdiction of the state and federal courts within Washington, for the purpose of litigating any such action.
Additional Terms and Conditions
Arctica reserves the right to modify, suspend or terminate the Arctica Referral Membership Program in its entirety at any time and for any reason in its sole discretion.  Void where prohibited by law.  This program and these terms and conditions are subject to all applicable federal, state and provincial laws and regulations.  Any cash bonus will be net of taxes and you must pay any applicable taxes. If in Arctica’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the program or the referrals, or if a computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the program, Arctica reserves the right at its sole discretion to disqualify any individual involved in any such harmful or illegal activities, and to modify or suspend the program, or to terminate the program.  Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the program is a violation of criminal and civil laws and should such an attempt be made, the Arctica reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  Any attempts by an individual to access any web site associated with this program via a bot script or other brute force attack or any other unauthorized means will result in the IP address and the associated Referrer becoming ineligible, in addition to any other remedies available at law or in equity.  Use of automated, programmed, falsified or the like entry devices or programs is prohibited and all such entries are void.
Privacy
By registering as an affiliate on the Arctica website, you agree to Arctica’s collection, use and disclosure of any personal information you may submit for the purposes: (a) of administering the program and cash bonus check(s); and (b) set out in these terms and conditions.
Arctica is not responsible for replacement of lost or unclaimed cash bonus check(s).  Other restrictions may apply. Arctica may cancel or modify this program or its terms at any time.  ©2009 Arctica
